Agreement
These standard terms and conditions ("Terms") and the quotation, if any, and the Supplementary Terms, if any, constitute the agreement ("Agreement") between you ("Customer") and Ziab, Inc. ("Ziab") for the purchase of any product ("Product"). The Customer agrees to accept and be bound by the Agreement by placing an order ("Order") for a Product on Ziab's website or if Customer receives sales or ordering documents that reference these Terms.
Some of Ziab's products and services may be subject to additional intellectual property licenses or contractual obligations ("Supplementary Terms"). When applicable, these terms accompany the purchased products.
Ziab's acceptance of any Order is expressly conditioned upon Customer's agreement to this Agreement. Any differing or additional terms proposed by Customer are not binding unless agreed in writing.
Purchase Orders and Invoices
Ziab shall sell to Customer, and Customer shall accept and pay for all Products ordered pursuant to an Order accepted by Ziab. All Orders are subject to Ziab's acceptance in writing or by shipment. Ziab may accept any Order in whole or in part.
Price
Prices are those specified in the Order or, if none, Ziab's price list at the time of acceptance. Prices exclude taxes, duties, fees, insurance, transportation, and handling charges.
Payment
Customer shall pay all invoices within thirty (30) calendar days from invoice date. Late payments may incur 1.5% monthly interest. Ziab may delay shipments or suspend services for delinquent accounts.
Shipment
All products are delivered ExWorks (Incoterms 2020) at Ziab's facility. If Customer does not specify a carrier, Ziab may choose one and invoice Customer accordingly.
Inspection and Returns
Customer must notify Ziab of damaged or defective products within fifteen (15) business days and obtain a Return Authorization. Unauthorized returns will not be accepted. Returns must be in original packaging.
Non-Ziab errors may be subject to a 25% restocking fee. Shipping charges are non-refundable.
Title
Title to Products transfers to Customer upon delivery to the carrier.
Use and License
Unless otherwise agreed: (a) all Products are for Research Use Only, (b) Products are not for diagnostic, therapeutic, agricultural, or human use, (c) Products may not be reverse engineered, copied, sequenced, or replicated, (d) Products may not be resold or transferred, and (e) Customer receives only a nontransferable right to use Products internally.
"Commercial Purposes" includes: providing services using Products, using Products in clinical or therapeutic settings, or reselling Products. Customer is solely responsible for all regulatory compliance in its use of Products.
Export Controls
Products and related information are subject to U.S. export laws. Customer may not export or transfer Products to prohibited destinations or parties.
Limited Warranty
Ziab warrants that Products conform to specifications on their datasheets when used under normal conditions. Products altered or improperly handled are not covered. Warranty lasts until the stated expiration date.
Liability Limitations
IN NO EVENT SHALL ZIAB OR CUSTOMER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR REVENUE.
ZIAB'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE APPLICABLE PRODUCTS.
Term
The Agreement term is one (1) year from the Effective Date. Specified sections survive termination.
Waiver
No oral statements or assistance from Ziab personnel modify this Agreement. Failure to enforce rights is not a waiver of future rights.
Entire Agreement
This Agreement is the complete contract between Customer and Ziab. Conflicting terms are prioritized as follows: (a) quotation, (b) Supplementary Terms, (c) these Terms.
Disputes and Governing Law
All disputes shall be resolved in the state or federal courts of Pennsylvania, USA. Pennsylvania law governs this Agreement. Customer must file any claim within one year of accrual.

Miscellaneous
If any provision is found unenforceable, the remaining provisions remain effective. Customer may not assign obligations without written consent.
